These Terms of Service ("Terms") govern your access to and use of FinzBooks ("Service"), operated by LegisNexa Private Limited ("FinzBooks", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms.

If you don't agree, don't use the Service.

1. The Service

FinzBooks is a cloud-hosted bookkeeping and GST-compliance application for businesses operating in India. The Service includes invoice and bill management, automatic GST calculation, e-Invoice and e-Way Bill integration, AI-assisted document processing, and reporting features. The Service is delivered electronically over the internet at https://app.finzbooks.com.

2. Account

To use the Service you must create an account with accurate information. You're responsible for all activity under your account and for keeping your credentials secure. Notify us immediately at gigi@finzbooks.com if you suspect unauthorised access.

You must be at least 18 years old and authorised to act on behalf of the business you register.

3. Subscription and fees

Pricing is published at https://finzbooks.com/pricing. Plans are billed monthly or annually in advance. Fees are exclusive of GST; we'll add CGST+SGST (intra-state) or IGST (inter-state) on every invoice based on your billing address.

All payments are processed through Razorpay (Razorpay Software Pvt Ltd), our payment processor. By making a payment you also agree to Razorpay's terms.

4. Cancellation and refunds

You may cancel your subscription at any time from the account settings. Cancellation stops future billing; the Service remains active until the end of the paid period. See our Refund Policy for the refund window and process.

5. Acceptable use

You agree NOT to:

  • Upload or process data you do not have the right to use
  • Reverse-engineer, decompile, or attempt to extract source code
  • Probe, scan, or test the vulnerability of the Service without our written consent (see /security)
  • Use the Service to send spam, illegal content, or infringe anyone's rights
  • Resell, sublicense, or white-label the Service without a written commercial agreement

We may suspend or terminate accounts that violate this section.

6. Your data

You retain ownership of all data you upload. We process your data only to provide the Service. See the Privacy Policy for how we collect, store, and protect personal information.

GST-related data (invoices, returns, ledgers) is stored in Mumbai, India to meet data-localisation requirements.

7. Service availability

We target 99.5% monthly uptime but make no formal SLA on the entry plan. Scheduled maintenance windows are announced in advance. We're not liable for downtime caused by your network, third-party services, or events outside our reasonable control.

8. Intellectual property

FinzBooks and all underlying software, designs, and content are owned by LegisNexa Private Limited. You receive a non-exclusive, non-transferable licence to use the Service for the duration of your subscription.

9. Disclaimers

The Service is provided "as is". We don't warrant that it will be uninterrupted or error-free. FinzBooks is a software tool — it does not provide legal, tax, accounting, or financial advice. You're responsible for the accuracy of your filings and for consulting a qualified Chartered Accountant where needed.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of these Terms is limited to the fees you paid us in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

11. Termination

Either party may terminate this agreement with 30 days' notice (or immediately for material breach). On termination, your data will be available for export for 30 days, after which it may be deleted.

12. Governing law

These Terms are governed by the laws of India. Any dispute will be resolved exclusively by courts in Bengaluru, Karnataka.

13. Changes

We may update these Terms; we'll post the new version with a revised "effective date" and notify you by email at least 14 days before material changes take effect.
